The Legal & Compliance Executive job specific duties entail:

KEY RESPONSIBILITIES:
• Legal Advisory & Corporate Support:
– Provide legal advice and support to management and various business departments on day-to-day legal, contractual, and regulatory matters.
– Draft, review, negotiate, and vet commercial agreements, contracts, MOUs, NDAs, lease agreements, vendor agreements, franchise agreements, service agreements, and other legal documents.
– Conduct legal research and assist in preparing practical legal opinions to support business decisions.
– Identify potential legal risks and recommend appropriate mitigation measures.
– Coordinate with external legal counsel, consultants, advocates, and relevant government authorities on legal matters.
– Assist in handling legal notices, disputes, litigation, arbitration, and other legal proceedings in coordination with external counsel.
• Corporate Legal & Compliance:
– Ensure compliance with applicable corporate laws, statutory regulations, regulatory requirements, and internal policies across SHG and its group companies.
– Assist in maintaining statutory records, corporate filings, board resolutions, minutes, registers, and other corporate governance documentation.
– Monitor changes in applicable laws and regulations affecting the Hospitality, Travel & Tourism sectors and highlight relevant developments to management.
– Maintain and update a centralized repository of corporate, legal, contractual, and compliance documents.
– Assist in developing, implementing, and monitoring legal and compliance policies, SOPs, and internal governance practices.
– Maintain compliance calendars and support timely completion of statutory and regulatory obligations.
• Regulatory & Statutory Compliance:
– Assist in coordinating statutory and regulatory requirements with relevant government authorities, including the Office of the Company Registrar (OCR), Department of Industry (DOI), Department of Tourism, Nepal Rastra Bank (NRB), Inland Revenue Department (IRD), and relevant local municipality/ward offices, as applicable.
– Support the process of obtaining and renewing business registrations, licenses, permits, approvals, and statutory clearances.
– Track regulatory submissions, renewals, and compliance requirements across the Group.
– Assist in ensuring that all applicable statutory and regulatory documentation is maintained accurately and submitted within prescribed timelines.
• Finance & Payment Compliance:
– Work closely with the CFO/Finance Department on legal and regulatory aspects of foreign payments and related documentation.
– Support the review and approval process for foreign payments to ensure compliance with applicable laws, regulations, internal policies, and required supporting documentation.
– Coordinate with the Finance Department on tax-related statutory filings, regulatory submissions, audit requirements, and other finance-linked compliance matters.
– Provide legal and documentary support during internal and external audits, where required.
• New Project Initiation & Pre-Operations:
– Provide legal support during the initiation of new business projects, investments, partnerships, and expansion plans.
– Assist in conducting legal due diligence for new projects, business partnerships, investments, leases, and other strategic initiatives.
– Prepare and review pre-operational legal documentation required before commencement of new hospitality and tourism projects.
– Coordinate with internal departments to ensure all legal, statutory, contractual, licensing, and regulatory requirements are fulfilled before project launch.
– Support the process of obtaining necessary registrations, approvals, licenses, permits, and statutory clearances for new projects and business operations.
• Legal & Compliance Risk Management:
– Conduct periodic compliance reviews and identify potential legal, regulatory, and contractual risks.
– Assist in developing appropriate measures to mitigate identified legal and compliance risks.
– Support internal audits, compliance assessments, and management reviews.
– Escalate significant legal, regulatory, or compliance issues to the Head of Legal & Compliance and relevant management in a timely manner.
• Documentation, Confidentiality & Data Protection:
– Maintain accurate and organized records of contracts, agreements, licenses, legal opinions, statutory filings, corporate documents, and compliance records.
– Ensure proper document retention, version control, and accessibility of legal and compliance records.
– Maintain strict confidentiality of sensitive corporate, legal, financial, contractual, and business information.
– Comply with SHG policies relating to data protection, information security, document retention, intellectual property, and confidential information.
• Conflict of Interest & Professional Ethics:
– Maintain the highest standards of professional integrity, confidentiality, and ethical conduct.
– Disclose any actual or potential conflict of interest in accordance with SHG policies.
– Ensure that all legal and compliance activities are conducted objectively and in accordance with applicable laws and internal policies.
• Property & Site-Level Support:
– Undertake periodic visits to SHG’s hotels, lodges, resorts, and project sites as required for legal, licensing, documentation, and compliance-related activities.
– Be willing to travel to remote and high-altitude locations, including areas such as Everest, Annapurna, Mustang, Chitwan, and Lumbini, depending on business requirements.
KEY PERFORMANCE MEASURES (KPI’S):
• Regulatory & Statutory Compliance: Track timely and accurate completion of statutory filings, renewals, registrations, and compliance submissions across the Group.
• Contract Turnaround Time: Measure the average time taken to draft, review, negotiate, and finalize contracts and legal documents.
• Legal Risk Identification: Monitor the number of legal/regulatory risks identified proactively and the effectiveness of mitigation measures recommended.
• Documentation & Recordkeeping: Assess the accuracy, completeness, and accessibility of statutory, corporate, and compliance records.
• Support to New Project Initiation: Track the timeliness of legal and pre-operational documentation delivered for new projects and business initiatives.
• Audit & Compliance Review Outcomes: Evaluate the number and severity of findings raised during internal/external audits and compliance reviews, and the speed of remediation.
• Stakeholder Coordination: Measure effectiveness of coordination with external counsel, government authorities, and cross-functional teams (Finance, HR, Operations, Projects) based on feedback.
• Confidentiality & Ethics: Adherence to confidentiality, conflict-of-interest disclosure, and professional ethics requirements, with zero material breaches.
• Responsiveness: Track turnaround time in responding to legal queries and escalations from management and business departments.
PROFILE AND MINIMUM JOB REQUIREMENTS:
• Qualification & Experience:
– B.A. LL.B. from a recognized university (preferably with a focus on Corporate Law).
– 2 years of relevant experience in Legal & Compliance, Corporate Legal, or a similar function.
– Preference will be given to candidates with experience in Hospitality, Hotels, Travel & Tourism, or related industries.
– Sound knowledge of Corporate Law, Contract Law, Labour Law, Companies Act, commercial laws, and regulatory compliance.
– Familiarity with corporate documentation, statutory filings, licensing requirements, and regulatory procedures.
– Basic understanding of the regulatory environment applicable to hospitality and tourism businesses in Nepal.
• Skills & Competencies:
– Strong legal drafting, contract review, and documentation skills.
– Good legal research and analytical abilities.
– Ability to interpret legal provisions and provide practical, business-oriented support.
